公司印章的英語都怎麼說?

在處理公司內外大小事務時，印章總是不可或缺的一部分。一份被蓋上公司印章的文件，自然也就具備了公司層面的證明力與權威性。

 

那麼關於公司印章的知識你知道多少呢？

 

一、公司印章的五大基本種類

以功能為分類標準，公司印章可以分為以下5種：

 

（一）公章 official company chop

公司公章是公司處理內外部事務的印鑑，公司對外（如銀行、稅務）的正式信函、文件、報告需要使用公章，蓋了公章的文件具有法律效力。因此，公司公章是公司效力最大的一枚章，也是法人權利的象徵。

 

An official company chop is required when any important document is signed and can provide legal authority when opening a bank account or altering the name or business scope of the company.

 

The official company chop has the widest scope of use among all the seals and is a symbol of the rights of the legal persons.

 

（二）財務章 financial chop

常用用於與銀行財務往來的結算。

 

The financial chop is used for opening a bank account, issuing checks, authenticating financial documents, such as tax filings and compliance documents, and for most bank related transactions.

 

It is a mandatory chop, though the company chop can often be used in its place.（公章常常可以替代財務章） This is why companies will often keep their financial and company chops separate to avoid exposure to misuse.

 

（三）合同章 contract chop

以公司名義籤訂合同時使用，並常常用於委託授權場合。

 

Many companies use a separate contract chop for signing contracts with their employees or executing agreements between salespeople and clients.

 

While having a contract chop is not a statutory （法定的）requirement, this chop can serve in place of the company chop when used for contracts.

 

The contract chop grants less authority than the company chop, making it useful for delegating authority（授權）.

 

（四）法人代表章 legal representative’s personal chop

法人代表章是企業法定代表人的人名籤章，可以代替籤名，也可以與籤名一起使用，一般用於處理特定事務，如公司決議等。

 

The legal representative’s personal chop is a chop owned by the company’s legal representative. The legal representative’s personal chop can be used in place of a signature, or alongside one.

 

（五）發票章 invoice chop

公司在出具發票時需要加蓋發票章，印章裡含有其公司單位名稱、發票專用章字樣、稅務登記號

 

The invoice chop is mandatory for issuing official invoices and tax receipts. A chopped invoice is required to declare a purchase as a business expense.

 

 

二、為什麼印章的英語使用chop而非seal或stamp

 

在商務場合，seal、stamp或chop都可以用於表達「印章」，而其不同之處在於，chop一詞來源亞洲國家，而seal或stamp常使用於英美國家。

 

A 「chop」 is a seal or stamp.It actually originates from colonial Indian English. It is now used in some other Commonwealth countries as a non-official term.

 

所以，當我們指向中國印章時，使用chop會更為準確。

 

 

三、印章的法律效力如何

 

根據《民法典》第490條，當事人採用合同書形式訂立合同的，自當事人均籤名、蓋章或者按指印時合同成立。在籤名、蓋章或者按指印之前，當事人一方已經履行主要義務，對方接受時，該合同成立。

因此，印章在籤訂合同、文書時，起到與傳統籤名、按指印同樣的法律效果。

 

而隨著時代發展，電子印章也快速成為商務領域中的新成員。

 

An electronic chop is the digital equivalent of a given chop used for online transactions, including financial and contractual ones.

 

根據《電子籤名法》第3條，民事活動中的合同或者其他文件、單證等文書，當事人可以約定使用或者不使用電子籤名、數據電文。當事人約定使用電子籤名、數據電文的文書，不得僅因為其採用電子籤名、數據電文的形式而否定其法律效力。

所以，符合規範的電子印章具有與實體印章相同的法律效力。

 

但要注意的是，電子印章不適用於下列情形：

(1)涉及婚姻、收養、繼承等人身關係的；

(2)涉及停止供水、供熱、供氣等公用事業服務的；

(3)法律、行政法規規定的不適用電子文書的其他情形。
