南戈壁-S(01878)與Land Breeze及Fullbloom訂立延期支付協議

智通財經APP訊，南戈壁-S(01878)發布公告，於2020年11月19日，公司已與Land Breeze II S.à.r.l. (Land Breeze)及Fullbloom Investment Corporation(Fullbloom)(兩者均為公司主要股東的全資附屬公司)訂立延期支付協議。

Land Breeze及Fullbloom同意允許公司延期支付以下款項，直至2023年8月31日(延期支付日期)止：1.根據2020年6月延期協議於2020年9月14日或之前到期及應付予Land Breeze的延期現金利息及延期支付費用約7520萬美元;

2.根據於2009年11月19日籤訂的2.5億美元可換股債券於2020年11月19日及2021年5月19日應付予Land Breeze的半年度現金利息付款總計1600萬美元;

3.根據可換股債券於2020年11月19日應發行予Land Breeze的實物支付利息股份價值400萬美元(2020年11月實物支付利息);

4.根據於2019年4月23日籤訂的經修訂及重列合作協議於2019年第四季度、2020年第一季度及2020年第二季度的管理費用、2020年9月14日尚未償還的相關應計延期的費用(120萬美元)以及2020年第三季度至2021年第三季度應計的管理費用(延期管理費用)。

根據多倫多證券交易所公司手冊第501(c)條，公司將於公司董事會確定的未來日期舉行的股東大會上尋求不涉及利益股東批准2020年11月延期協議。
