(1)什麼是日落條款：
當房產買家看到買賣合同中包含的日落條款時，往往會感到擔憂。日落條款通常包含在銷售中，以保護雙方的利益。Buyers of property are often concerned when they see the Sunset Clause included in the Contract of Sale. Sunset Clauses are usually included as a way of protecting the interests of both parties when it comes to a sale.
日落條款是指銷售合同中規定的開發商必須完成項目的最長時間。這一時間因開發項目的不同而有所不同，這取決於房地產的大小。如果這段時間房產還沒有完工，雙方都有合法權利退出銷售合同，開發商可以全額退還押金。
The Sunset Clause is the statement in the Contract of Sale that refers to the maximum time in which the developer has to finish the project. This time varies across developments, depending on the size of the property. If the property is not finished by this time, both parties are legally entitled to walk away from sale contracts and developers refund deposit back in full.

本合同的完成以賣方即開發商獲得房屋所有權註冊及準入證書為條件。如果在日落期前，房屋所有權註冊未被完成，任何一方可以通過書面通知方式解除購房合同。如果房屋所有權註冊在落日期之後獲得，但是早於任何一方行使解約權，任何一方將無權行使解約權。
Completion of this contract is subject to and conditional upon the vendor obtaining Registration and an Occupation Certificate. In the event that Registration is not effected by the Sunset Date, either party may by notice in writing to the other party rescind this contract . If Registration is effected after the Sunset Date but prior to either party exercising its right to rescind, then neither party shall be entitled to rescind under this special condition.
