保稅區出口拼箱操作代理協議
Agency Agreement of Export LCL Operation in Bonded Area
甲乙雙方經過友好協商，就甲乙雙方在XX保稅區內進行出口拼箱業務操作的相關事項達成如下協議：
Through friendly consultations, Party A and Party B reached the following agreements as to related matters of export LCL business operation in XX Bonded Area:
一、甲方委託乙方作為其在XX保稅區出口拼箱貨物倉儲保管，乙方接受甲方的委託。
I. Party A entrusts Party B as its warehousing and storage agency of export LCL cargo in XX Bonded Area, and Party B accepts the commission of Party A.
二、甲方的委託範圍：出口貨物的接收、庫存管理、裝箱操作、提取空箱/重箱進碼頭、報關/報檢代理及與出口拼箱操作相關事項等。
II. Party A's entrusted scope: export goods receiving, inventory management, packing operation, extracting empty containers / heavy containers into the dock, customs declaration/inspection agent and export LCL operations related matters, etc.
三、甲方承攬貨物後，將貨物進倉單（含貨物基本信息如貨主、貨名、件數、體積、嘜頭、乙方倉庫地址等）傳真給乙方並指示發貨人憑「貨物進倉單」將貨物送到保稅區乙方指定倉庫。
III. After Party A contracting goods, it shall fax the Goods Warehouse Receipt (including goods basic information such as the owner, goods name, quantity, volume, shipping mark, Party B's warehouse address, etc.) to Party B and instruct shipper to deliver the goods into Party B's designated warehouse in the Bonded Area upon the Goods Warehouse Receipt.
四、貨物抵達乙方倉庫後，乙方與發貨人或發貨人代表共同對貨物數量和貨物的外包裝狀況是否完好進行核對。雙方對貨物數量、外包裝狀況確認無誤後，乙方開具貨物進倉收據給發貨人或發貨人代表。以成組化包裝方式交付的貨物，乙方以成組化包裝核計貨物數量，甲方/發貨人對貨物的實際數量負責。貨物交接過程中若發現貨物的外包裝異常（如破損、浸溼等），乙方與發貨人或發貨人代表共同對異常情況進行確認並籤字，應甲方要求，乙方可拍照留底。乙方在半個工作日內將外包裝異常情況通知甲方，若甲方或發貨人認為必須對異常之外包裝進行處理，甲方必須在貨物報關前通知乙方。乙方於半個工作日內集中向甲方反饋進倉貨物狀況。
IV. After the goods arrive at Party B's warehouse, Party B and the shipper or shipper’s representative shall check the quantity and the condition of outer packing of the goods together. After confirmed by both parties, Party B shall issue the Goods Warehouse Receipt to the shipper or shipper’s representative. As to the goods delivered by unitization packing way, Party B shall calculate quantity of the goods by unitization packing, and Party A / the shipper shall be responsible for the actual number of goods. If abnormal outer packing of the goods (such as breakage, soaking, etc.) is found in the process of foods delivery, Party B and the shipper or shipper’s representative shall confirm the abnormal situation and sign together, and Party B can take pictures for record at the request of Party A. Party B shall notify Party A the outer packing anomalies within half a working day; if Party A or shipper thinks that the abnormal outer packing must be dealt with, Party A must inform Party B before the goods customs declaration. Party B shall make concentrated feedback of the condition of warehousing goods to Party A in half a working day.
五、甲方保證進倉貨物的包裝適合於海運運輸，嘜頭清晰易辯。對裝卸、堆垛有特殊要求的貨物，甲方應在進倉單的顯著位置註明或通過書面方式在貨物入倉前通知乙方，若無註明或提前通知，乙方將按照普通貨物進行裝卸、堆垛操作。若甲方在貨物入倉後要求進行貨物分類、堆垛調整等，乙方按實際立方數收取貨物搬移、操作費。
V. Party A shall ensure the packing of warehousing goods suitable for ocean transportation, shipping marks clear and easy to identify. As to goods with special request for loading and unloading and stacking, Party A shall indicate in a prominent location on the Warehouse Receipt or inform Party B before the goods transport by writing; without indication or advance notice, Party B will carry out loading and unloading, stacking operations in accordance with the general cargo. If Party A requires classification, stacking adjustment, etc. for the goods after the goods warehousing, Party B will charge goods moving, handling fee according to the actual number of cubic.
六、乙方倉庫為非危險品倉庫，甲方保證進倉貨物為非危險品貨物。若乙方發現進倉貨物為危險品貨物，乙方有權單方面對貨物進行處理並由甲方承擔所有費用，若由此造成人員或財產損失，甲方承擔所有賠償責任。
VI. The warehouse of Party B is a non-dangerous goods warehouse, and Party A shall guarantee the warehousing goods are non-dangerous goods. If Party B finds the warehousing goods are dangerous goods, Party B will have the right to deal with the goods unilaterally and all costs shall be borne by Party A; if there is any resulting damage to personnel or property, Party A shall bear all the liability for compensation.
七、甲方負責排載、訂艙並在承運人/碼頭截單前3個工作日內將訂艙資料送交乙方，甲方至少應提前2個半工作日確認提箱事宜。若甲方所排載的船公司/NVOCC之承運船舶艙位緊張或空箱不足，甲方應及時與船公司進行協商並確認艙位和空箱的使用。
VII. Party A is responsible for arranging the loading, booking cargo space and handing over the booking information to Party B within 3 working days before the carrier / dock deadline of documents, and Party A shall confirm the containers picking up matters at least two and a half working days in advance. If there is little shipping space of the shipping company arranged by Party A /carrying vessel of NVOCC or lack of empty containers, Party A shall timely negotiate with the shipping company and confirm the shipping space and the use of empty containers.
八、若甲方委託乙方指定報關行進行報檢、二線報關，甲方或發貨人提供的報關、報檢資料必須完整、清晰、準確，若違反本約定而導致的被海關退單、貨物查驗無法通過、貨物無法及時出運甚至招致海關處罰等責任和費用均與乙方無關。
VIII. If Party A entrusts Party B to designate customs broker for inspection declaration, second-line customs declaration, the customs declaration, inspection declaration data provided by Party A or the shipper must be complete, clear and accurate, and the responsibilities and expenses of situations such as documents withdraw by customs, goods inspection unable to be passed, goods can't be shipped timely even punishment by the customs, etc. due to violation of this agreement have nothing to do with Party B.
九、甲方保證單單相符、單貨相符、單證相符，若違反本約定而導致出口一線海關查驗無法通過而引起貨物無法及時出運甚至招致海關對乙方的處罰等責任和費用均由甲方承擔。
IX. Party A shall ensure the consistence between documents, documents and cargo, documents and certificates, and all the liabilities and expenses of situations such as goods cannot be timely shipped caused by not passing inspection by export first line customs and even causing the customs punishment to Party B, etc. due to the violation of this agreement shall be borne by Party A.
十、甲方負責跟蹤貨物進倉情況，乙方負責跟蹤二線、一線放行，並於半個工作日向甲方反饋信息。因自2011年1月1日開始，海關針對保稅區貨物施行核放單入區管理，籤約客戶我司將發放對應核放單，甲方代理送貨車輛憑核放單入區。若違反保稅區入區出區管理的，由甲方自行承擔責任。針對籤約後客戶即甲方，乙方將提供指定核放單帳戶及工作號（入倉號），但甲方必須保證自籤約後在乙方倉庫三個月內實際開櫃至少有三個標箱。若未達到要求，乙方有權取消對應工作號（入倉號）及核放單。
X. Party A is responsible for tracking the goods warehousing, and Party B is responsible for tracking the second line, first line discharging, and feedback to Party A in half a working day. Because the customs carried out release documents management into the area for bonded goods since January 1, 2011, we will issue corresponding release documents to contract customers, and Party A's agent delivery vehicles will enter the area upon release documents. The responsibility due to violations of the administration of into and out of the bonded area will be borne by Party A. To the contract customer namely Party A, Party B will provide designated release documents accounts and work number (warehousing number), but Party A must guarantee to open at least three TEUs in Party B's warehouse actually within three months after signing. If the requirements are not met, Party B has the right to cancel the corresponding work number (warehousing number) and the release documents.
十一、甲方應於碼頭截單前一個半工作日內將正確的積載清單提供給乙方。乙方根據甲方提供的積載清單以及貨物的實際尺寸製作裝箱清單並傳真給甲方，甲方應及時審核並確認回傳，以便乙方及時裝箱、清關。
XI. Party A shall provide correct stowage list to Party B within one and a half working days before dock deadline of documents. Party B makes packing list according to the stowage list provided by Party A and the actual size of goods and faxes to Party A, and Party A shall review and confirm back in time, so that Party B can carry out packing and customs clearance in time.
十二、若甲方的積載清單因故更改，甲方必須在碼頭截單前一個工作日提供更改後的積載清單。乙方根據甲方提供的更改後的積載清單以及貨物的實際尺寸製作新的裝箱清單並傳真給甲方，甲方應及時審核並確認回傳，以便乙方及時裝箱、清關。
XII.If there is any change in Party A’s stowage list for some reason, Party A must provide the changed stowage list one working day before dock deadline of documents. Party B makes the new packing list according to the changed stowage list provided by Party A and the actual size of goods and faxes to Party A, Party A shall review and confirm back in time, so that Party B can carry out packing and customs clearance in time.
十三、裝箱前，若貨物的實際尺寸超過所排載箱型的容量，而甲方確定貨物必須全部裝完，甲方必須向乙方出具書面指示，若由此引起貨損由甲方自行負責。若貨物無法裝完必須將已裝箱的部分貨物卸出，費用由甲方自行承擔（見收費標準）。
XIII.Before packing, if the actual size of the goods exceeds the capacity of the arranged container type, and Party A makes sure that all the goods must be loaded, Party A must provide Party B with written instructions, and the resulting damage of cargo (if any) shall be undertaken by Party A. If the goods cannot be loaded completely and part of the loaded goods must be discharged, fees shall be borne by Party A (see fee standards).
十四、乙方保證貨物進倉後的完整與安全，並妥善保管貨物，但不對貨物的內在品質以及包裝內的殘損和數量短少等承擔責任。
XIV.Party B shall ensure the integrity and security of the goods after goods into the warehouse, and keep the goods properly, but without responsibility for intrinsic quality of the goods and damage within the packing as well as quantity shortage, etc.
十五、甲方承攬的出口貨物進倉後因故需要退倉或退關時，甲方應出具書面申請，乙方將協助辦理退倉、退關手續並收取相關費用，甲方接貨人代表應持書面申請到我司辦理貨物出倉。
XV.If export goods undertaken by Party A need to cancel shipping order or cancel customs declaration after goods into the warehouse for some reason, Party A shall issue a written request, and Party B will assist the shipping order or customs declaration canceling formalities and charge related fee, receiving people on behalf of Party A shall hold the written request to our company to deal with the formalities of goods out of warehouse.
十六、出口貨物在乙方倉庫內的免費堆存期為十四天。超期堆存按附件收費標準取堆存費，不足一個月的，以實際天數所佔比例來計算。
XVI.The free storage period for export goods in the warehouse of Party B is fourteen days. Storage charge will be charged for overdue storage according to the charging standard in attachment, and storage in less than a month will be calculated by proportion of the actual number of days.
十七、2008年8月1日起，廈門各大碼頭對超過碼頭截單、截箱時間送單、進場的貨櫃加收碼頭搬移費，由甲方原因導致上述費用發生的，該費用由甲方承擔，由乙方原因導致上述費用發生的，該費用由乙方承擔。
XVII.Since August 1, 2008, each big dock in Xiamen surcharged the dock handling fee to containers which documents sending or approach time exceeds the dock deadline of documents or containers; the fees shall be borne by Party A if they are caused by Party A and borne by Party B if they are caused by Party B.
十八、特別理貨：遇海關二線查驗要求進行特別理貨的貨物，乙方應及時通知甲方，由甲方通知貨主及時與海關指定的理貨公司預約理貨事項。乙方配合理貨公司的清點工作。貨物清點完畢,貨主與理貨公司結清費用、領取理貨報告並辦理貨物放行手續。若海關一線抽驗，海關認定需要送特別理貨的一線拼箱，由乙方通知甲方後，甲乙雙方應共同配合理貨小組清點貨物，查驗完畢後，乙方應及時跟蹤一線放行。
XVIII. Special tally: As to the goods to which the second-line customs requires inspection for special tally, Party B shall notify Party A in time, and Party A shall notify the owner to book tally matters with tally company designated by the customs in time. Party B shall cooperate with inventory work of the tally company. After goods inventory finished, the owner shall settle costs, get the tally report and handle cargo clearance formalities with the tally company. If the first line customs carries out selective acceptance, as to the first line of LCL that needs to deliver for special tally, after Party B notifying Party A, Party A and Party B shall cooperate with the tally team to check goods jointly, and Party B shall timely track the first line release after the inspection.
十九、乙方必須採取合理措施保證本合同下的貨物的安全完好，貨物在乙方掌管期間，如因乙方或乙方的僱傭人員或乙方的供應商等保管不當或疏忽造成貨物的滅失，損壞，短少或被調換，乙方承擔一切賠償責任。」
XIX.Party B must take reasonable measures to ensure the safety and integrity of the goods under this contract; during the period of the goods in charge by Party B, the loss, damage, shortage or exchange of the goods as a result of improper safekeeping or negligence by Party B or Party B's employment personnel or Party B's suppliers, Party B shall assume all the liability for compensation."
二十、未經甲方同意，乙方不得將本合同項下的貨物移至其他地方儲存，否則由乙方承擔由此產生的一切法律責任。
XX. Without the consent of Party A, Party B shall not move the goods under this contract to other places to store; otherwise, all the legal responsibilities thus incurred shall be borne by Party B.

二十二、甲乙雙方費用採用月結形式
XXII.Charges between Party A and Party B shall be settled in the form of monthly statement
1. 乙方每周將上周發生的費用於周一傳真甲方確認（有可能發生但暫時不能明確的費用如碼頭搬移費需作備註）。
1. Party B shall fax the fees of last week on every Monday to be confirmed by Party A (possible fees which can't be clear temporarily such as dock handling fee shall be noted).
2. 乙方每月5日前匯總製作上月費用清單給甲方，甲方於當月10日前確認回傳給乙方財務部，超過10日未確認則視為正確。甲方於當月的20日前將上一個月的全部費用匯至乙方指定帳戶以結清款項。甲方在核對費用清單過程中發現不符合項，應在3個工作日內通知乙方並與乙方就不符合項進行重點核查，核查完畢按上述付款日期付款。若不符合項無法及時核查清楚，甲方應按上述付款日期支付除不符合項以外的所有費用。
2. Party B shall summarize and make fees listing of last month to Party A before the 5th of every month, and Party A shall confirm and fax back to Party B’s Finance Department before the 10th of the month, treated as correct if exceeding the 10th. Party A shall remit the total costs of the last month before 20th to the designated account of Party B for settlement of payment. If Party A finds any non-conformance item in the process of checking the list of expenses, it shall inform Party B within three working days and carry out focus verification as to the non-conformance items with Party B, and pay according to the above date of payment after verification. If the non-conformance items cannot be verified clear in time, Party A shall pay all fees other than the nonconformities according to the above date of payment.
3. 甲方應按本條第二款的時間約定支付費用。延期5天以上的，乙方按未付費用總額每天千分之二的比例收取滯納金。延期1個月以上的，乙方對甲方寄存在乙方倉庫價值相當於未付費用總額的貨物行使留置權。留置1個月以上，乙方有權對留置物進行拍賣，拍賣所得用於償付甲方未付費用，若拍賣所得不足於償付甲方未付費用，不足部分由甲方支付。
3. Party A shall pay as agreed time in Section 2 of this article. As to delay of more than 5 days, Party B will charge overdue fine according to the proportion of two over one thousand to the total unpaid expenses every day. As to delay of more than 1 month, Party B will exercise the right of lien to the goods of Party A consigned in Party B’s warehouse which value is equal to the total unpaid expenses. Party B shall have the right to carry out auction to goods retained for more than 1 month, and the proceeds shall be used to repay Party A’s unpaid expenses; if the proceeds is insufficient to pay Party A’s unpaid expenses, the balance will be paid by Party A.
二十三、本協議未盡事宜以及協議執行過程中出現的爭議、糾紛，由雙方友好協商決定。協商未果，甲乙雙方同意向廈門海事法院提起訴訟。
XXIII. Matters not mentioned in this agreement and the controversy or dispute in the process of agreement implementation shall be determined by both parties through friendly consultation. It the consultation fails, both parties agree to institute legal proceedings to the Xiamen Maritime Court.
二十四、本協議一式雙份，甲乙雙方各執壹份。甲乙雙方對本協議均有保密義務，一方洩露本協議內容導致另一方遭受損失，違約方必須進行賠償。
XXIV. This agreement is in duplicate, Party A and Party B hold one copy each. Party A and Party B have the obligation to keep confidential to this agreement, and the breaching party must compensate for the loss of the other party due to disclosure of content of this agreement.
二十五、本協議自2019年01 月01 日起至2019年12 月31日止。有效期滿後，雙方若無異議則自動延期一年。
XXV.This agreement is from January 1, 2019 to December 31, 2019. After the expiration, the agreement will be automatically extended for a year if both parties have no objection.
