格隆匯6月17日丨威孚高科(000581.SZ)公布，公司近日收到《Agreement and Plan of Merger by and among National Electric Vehicle Sweden AB,Virtue Surge Limited, Protean Holdings Corg.,and shareholder representative services llc,as the Stockholders』 Representative》(「合併協議」)，根據合併協議的約定，Virtue Surge Limited以合併方式全資收購Protean Holdings Corp.(「本次交易」或「本次併購」)。
本次交易前，公司持有Protean Holdings Corp. 9.61%的股權。由於Protean Holdings Corp.大股東行使了「拖售權」，即Protean Holdings Corp.的絕大部分股東以持股比例贊成，及Protean Holdings Corp.董事會大多數贊成，滿足拖售條件，公司必須同意出售持有的9.61%的Protean Holdings Corp.股權，被拖動出售股票的還有其它共持有其餘16.04%已發行股票的數十位股東。出售後，公司不再持有Protean Holdings Corp.的股權。
公司在本次併購出售股權交易中，預計將獲得717萬美元的收入，其中預計首期將獲得564萬美元左右的收入，剩餘153萬美元左右將作為併購保證備用金，預計將在12個月收到剩餘資金。
