I, Stuart D. Sherell., President of USA Furniture Trading Corp. hereby appoint Tom King from Louis & King Law Firm to act on behalf of USA Furniture Trading Corp., in regard to bringing a file against Greenhouse Trade Co., Ltd., Zhejiang Province, China for the latter’s breach of the contract entered by the said two parties.
Now this deed witnesseth that I appoint Tom King of No.17, Xihu Road, Hangzhou City, People’s Republic of China, (the 「Attorney」), to be my corporation’s true and lawful attorney and in the name of my corporation to do and execute all or any of the following acts, deeds, and things in the People’s Republic of China:
(1) To negotiate with the legal representative of Greenhouse Trade Co., Ltd. in respect of penalty and damages;
(2) To submit and execute all necessary legal documents as may be required by the court in respect of the said Complaint;
(3) To promptly appear at the court at the times appointed by the court;
(4) To accept any reasonable and acceptable compensation that may be payable by Greenhouse Trade Co., Ltd. in the respect of damage pursuant to the judgment;
(5) In the event of the judgment ruled in favor of the defendant, Greenhouse Trade Co., Ltd., Tom King will continue to act for the USA Furniture Trading Corp. to appeal.
And I hereby agree to ratify and confirm all that the Attorney may do or cause to be done in pursuance of this Deed which I declare shall continue in force until notice of the revocation hereof shall be actually received by the Attorney for the time being acting in exercise of the powers hereby conferred.
