法律法規與規範性文件英文資料庫，是法治建設的基礎設施，也是彰顯對外開放的重要窗口，值得用心建設。
立法拒絕辭採華章。語言素淨，語義明晰，效果確定，即為良法。經由精準翻譯，良法為人所知，並獲一體遵循，方可穩預期、利長遠、固根本。
翻譯是二次創作。除了懂法律、懂外語、熟悉業務外，還要有一點強迫症，在質疑與挑剔中，傾力付出，才能日臻完美。
《上海市優化營商環境條例》的英譯，先後在「上海發布」、《上海日報》刊出（連結附後），希望起草之中的「外商投資條例」等也能完成英譯，逐漸形成上海的相關資料庫。

本文將專有術語摘錄附後，並復盤翻譯的若干考量，希望有益於譯事的初學者。
感恩正心誠意，努力付出的日子。
精準的翻譯，是應對世行評估的基礎
風起於青萍之末。
意識到翻譯為我國迎接世行評估的短板，還是2018年1月16日的一場工作會議。
那場會議，稀鬆平常，卻開啟了迎接世行評估的紛忙歲月。
從那時開始，我們不斷發現，世行問卷中譯本、我國改革措施英譯本、世行談判法律英譯本中，錯譯、誤譯、漏譯比比皆是。
所幸從那時開始，我們不斷糾正偏誤，我國得分與排名，未受此影響，開始節節攀升。
翻譯錯誤，數不勝數，大致可歸為以下四類：
其一，內涵不當限縮。世行問卷中的「regulation」被譯為「法律」。事實上，在問卷語境下，「regulation」是指所有對商事活動具有規範效力的規則，包括全國人大頒布的法律、國務院行政法規，各部門規章，也包括彼時指標城市北京和上海頒布的地方性法規和政府規章，以及前述各政府和部門頒布的規範性文件，還包括上海交易所的上市規則，以及最高法院的司法解釋……總之，「regulation」一詞，涵攝了一切具有規範意義的內容，宜譯為「規則」。將其譯為「法律」，不僅字義不通，而且遺漏了大量足以支撐得分的法律淵源。
其二，詞意指向錯誤。世行問卷多次出現的「private limited company」，被譯為「私人有限公司」。這實在是「硬譯」的典型錯誤。在世行問卷的解釋說明中，「limited company」被界定為「一家有限責任公司或者具有同等職能的公司」（即一種不同的、更簡化的、且不能向公眾發行股份的公司）。在我國的公司法語境下，必須將「private limited company」譯為「有限責任公司及非上市股份有限公司」。發生這種錯誤，唯一的解釋是，譯者只懂外語不懂法律，特別是不懂公司法。
其三，語法理解失當。世行問卷中，有一道題「Are changes to the rights of shares only possible if the holders of affected shares approve？」被錯譯成「更改股票所附的股權時，是否只需要徵得權利受到影響的股東同意」？事實上，原文是關於類別股股權變更必要條件的表述，正確譯法為「股權內容的變更，是否只有在徵得權利受到影響的股東同意後才能發生」？此種誤譯，可歸咎於譯者基本功不到位。
其四，譯者功力不逮。這是最難發現的。2019年6月25日，世行總部華盛頓「獲得信貸」指標磋商。雙方聚焦於一個法律問題：能否對擔保物（例如，應收帳款）進行籠統描述？如果可以，則得分。世行專家認為，不可以，因為根據我國《物權法》第210條的規定，設立質權，當事人應當採取書面形式訂立質權合同。質權合同一般包括下列條款：質押財產的名稱、數量、質量、狀況……熟悉法理的人不難判斷，此條並非強制性規範，只是示範性規則，並不意味著缺失其中的任一要素，會導致質權合同無效。我國合同法第12條也採取同樣的立法例。《應收帳款質押登記辦法（2017修訂）》也允許用現有和未來的金錢債權作為抵押。沒有想到，在交流的過程中，我們發現，國家某部門向世行專家提供的法條英譯，把「一般包括」翻譯成「shall include」（應當譯為generally includes），從而將中文的示範性規則，翻譯為強制性表述，給說理帶來了很大難度。
往事如煙，過去的兩年多時間裡，這些訛誤，被一一糾正。
《上海市優化營商環境條例》翻譯的若干準則
基於過往的經驗與教訓，我們在翻譯這部條例時，確立了以下原則：
第一，對標國際標準，遵循國際慣例。法律外譯本，用戶是外國人，必須本著他們的閱讀習慣來翻譯。例如，「營商」一詞，國家與北京的譯本，均為單字「Business」，但世行歷年營商環境評估報告，均為「Doing Business」，簡稱為「DB」，故我們選擇了這一表述。再如，「中小投資者」，世行表述為「Minority Investors」，我們果斷放棄了「Medium and Small-sized Investors」的表述。另外，中文多次出現「流程、環節、程序」等字眼，統一為世行評估所用的「procedure」。「兜底條款」一詞，從初譯的「bottom-line clauses」，改為「miscellaneous provisions」更符合國際慣例。又如，第4條有「政府主要負責人」一詞，在初譯公布後，有部門建議，直接翻譯成市長和區長，我們覺得不妥，因為有時候會出現代市長或者代區長，甚至常務副市長、常務副區長主持工作的情況，而且政府還包括鎮一級的政府，故保持譯為「The main person in charge of the government」，國外也有此種譯法。
第二，適度增減欄位，優化語意理解。例如，第1條 「……根據《優化營商環境條例》等法律、行政法規……」經再三斟酌，譯為「根據國務院《優化營商環境條例》等法律、行政法規……」（in accordance with the Regulations on Optimizing Doing Business Environment issued by the State Council and other laws and administrative regulations.」如果不加「國務院」這個欄位以示區別，外國市場主體估計弄不明白，怎麼會根據同名的條例來制定條例？再如，第40條 貨物口岸監管，從字面來看，有兩種意思：其一，監管口岸的貨物；其二，既監管口岸的貨物，又監管口岸（例如，人員及設施）本身。後與相關部門溝通，確認是前者，故縮減了字義，譯為Cargo Supervision。還有，第5條「充分運用國家政策資源……」，原來直譯為「fully utilize national policy resources」，後覺得「資源」一詞無須譯出，故刪除了「resources」。
第三，清晰表述改革，尊重讀者體驗。這部條例充滿了改革氣息，有很多新的詞彙，例如，一網通辦、一網通、單一窗口、證照分離、一業一證、網格管理、雙隨機一公開、告知承諾……要逐一譯成明白曉暢的英語，委實並不容易。在翻譯時，我們力求語意明晰，使讀者無須藉助其他材料，也能明白其意。例如，第1條有「放管服」的表述，法條用的是簡稱，而這項改革的全稱是「簡政放權，放管結合，優化服務」。2017年政府工作報告中，對「放」一字的翻譯是「delegating powers」，意思是權力下放。我們覺得，似乎用decentralize比較好，於是將「放管服」三字譯成「streamlining administration and decentralizing powers, combining decentralization with appropriate control, and optimizing services」。例如，「簡易註銷」，國家採取直譯方式，譯為simplified deregistration，外國人不好理解，我們保持意譯，expedited deregistration，即快速註銷，既體現營商環境改革精神，也便於理解。
凡此種種，不一而足。附專業詞彙對照表，供需者參考！
